Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Quebec Technologies regarding your access to and use of our website, software solutions, IT consultancy services, and digital products.

By accessing our website or engaging Quebec Technologies for technology services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the website and services and must discontinue use immediately.

Services & Scope of Work

Quebec Technologies provides comprehensive IT consulting, custom software development, cloud infrastructure design, digital transformation, and technical support services.

Specific service deliverables, milestones, timelines, and technical requirements are governed by individual Statements of Work (SOW), master service agreements, or project contracts executed between Quebec Technologies and the client. In the event of any conflict between these general Terms and an executed SOW, the specific SOW will govern for that project scope.

Client Responsibilities

To enable the successful execution and delivery of services, clients agree to:

• Provide timely access to accurate requirements, technical documentation, assets, and necessary credentials.
• Designate authorized representatives for milestone reviews, feedback, and project sign-offs.
• Ensure all materials, data, or media provided to Quebec Technologies do not infringe upon any third-party intellectual property or violate applicable laws.
• Maintain the confidentiality of any administrative access credentials provided during project engagement.

Intellectual Property Rights

Client Deliverables: Upon full payment of all associated fees and invoices, the client receives ownership rights to custom-developed code, designs, and deliverables explicitly created for the client under the executed project agreement.

Quebec Technologies IP: Quebec Technologies retains all rights, title, and interest in its pre-existing proprietary tools, frameworks, libraries, know-how, background code, and website content (including logos, trademarks, text, graphics, and code).

Billing, Invoices & Payments

Fees for services rendered by Quebec Technologies will be specified in the relevant proposal, quotation, or agreement. Unless otherwise agreed in writing:

• Invoices are payable in accordance with the payment schedule defined in the project agreement.
• Any work requested outside the agreed project scope will be evaluated and billed as a scope change request at mutually agreed rates.
• Late payments may result in suspension of ongoing development, milestone deployments, or support services until accounts are brought current.

Confidentiality & Non-Disclosure

Both parties agree to hold all confidential business, technical, financial, and proprietary information disclosed during the engagement in strict confidence. Neither party will disclose or use confidential information for any purpose outside the scope of the service agreement without prior written consent, except where required by law.

Warranties & Disclaimers

Quebec Technologies warrants that all services will be performed in a professional, workmanlike manner consistent with prevailing industry standards.

Except as expressly set forth in a written agreement, our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Quebec Technologies, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption arising out of or related to your use of our services or website.

Termination & Suspension

Either party may terminate a service agreement in accordance with the specific termination provisions set forth in the executed agreement. Quebec Technologies reserves the right to suspend or terminate website access or services immediately in the event of a material breach of these Terms, non-payment, or unlawful conduct.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the applicable laws, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Quebec Technologies is established.
